Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the WhereIsMyBuddy platform, including our website at whereismybuddy.app and any related services (together, the "Platform"), operated by WhereIsMyBuddy ("we," "us," or "our"), a Canadian startup currently operating under this trading name with founders based in Vancouver, British Columbia and Toronto, Ontario.

By creating an account or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you must not use the Platform.

2.1 Age requirement

You must be at least 18 years of age to create an account or use the Platform. When you create an account, whether with an email address or with Google, you confirm that you are 18 or older.

2.2 Legal capacity

You represent that you have the legal capacity to enter into a binding agreement and that your use of the Platform does not violate any applicable law or regulation in your jurisdiction.

2.3 No minors

WhereIsMyBuddy is not directed at or intended for use by anyone under the age of 18. If we become aware that a user is under 18, we will close their account and delete their personal data in accordance with our Privacy Policy.

3.1 Account registration

To use the Platform, you must create an account with accurate and complete information, including your name and a valid email address. You may also register using Google Sign-In, subject to Google’s own terms of service. Either way, you must agree to these Terms and confirm you are 18 or older before the account is created.

3.2 Account accuracy

You agree to keep your account information accurate and up to date. You are responsible for all activity that occurs under your account.

3.3 Account security

You are responsible for keeping your account credentials confidential. You agree to tell us immediately at [email protected] if you suspect any unauthorised access to or use of your account.

3.4 One account per person

You may not create more than one account. You may not transfer your account to another person.

3.5 Account responsibility

You are solely responsible for all content you post and all actions you take on the Platform.

4.1 What the Platform is

WhereIsMyBuddy is a social accountability platform. You can join or create activities, check in when you do the thing, and see the other members of the activity doing the same.

4.2 What the Platform is not

WhereIsMyBuddy is not:

• A mental health service, therapy platform, or crisis support service
• A medical or clinical platform of any kind
• A substitute for professional advice, whether medical, psychological, legal, or financial
• A platform that guarantees any particular outcome, result, or goal achievement

4.3 Mental health disclaimer

If you are experiencing a mental health crisis, thoughts of self-harm, or any medical emergency, please contact a qualified healthcare professional, call your local emergency services, or reach a crisis line immediately. WhereIsMyBuddy is not equipped to provide crisis support.

5.1 Acceptable use

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations.

5.2 Prohibited conduct

You must not, under any circumstances:

• Post harmful or abusive content. Post, share, or transmit content that is abusive, harassing, threatening, defamatory, hateful, discriminatory, or that promotes violence or harm toward any individual or group.
• Post content that endangers others. Post content that promotes, glorifies, or facilitates self-harm, suicide, eating disorders, or any behaviour that endangers the physical or mental wellbeing of yourself or others.
• Impersonate others. Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Post illegal content. Post, share, or transmit content that violates applicable law, including content that infringes copyright, trademark, privacy rights, or any other intellectual property or personal rights.
• Spam or solicit. Use the Platform to send unsolicited commercial messages, spam, or promotional content. Activity discussions are for genuine accountability among members, not for marketing or solicitation.
• Interfere with the Platform. Attempt to disrupt, damage, or gain unauthorised access to the Platform, its servers, or connected systems, including by reverse engineering, scraping, or otherwise extracting data from the Platform without our written permission.
• Misuse personal information. Use personal information about other users obtained through the Platform for any purpose outside the Platform’s intended use.
• Create fake accounts or misrepresent yourself. Create accounts using false information, or use the Platform in any way intended to deceive other users.

5.3 Community standards

We expect all users to treat each other with respect. WhereIsMyBuddy is a space for genuine goal-setting and mutual accountability. Users who undermine the integrity or safety of the community may have their accounts restricted, suspended, or closed.

6.1 Your content

"User Content" means any content you submit, post, or transmit through the Platform, including your profile information, check-in notes and photos, discussion messages, support notes, activity descriptions, pinned prompts, profile photos, and activity cover images.

6.2 You own your content

You retain ownership of your User Content. We do not claim ownership of anything you post on the Platform.

6.3 Licence you grant us

By posting User Content on the Platform, you grant WhereIsMyBuddy a non-exclusive, royalty-free, worldwide licence to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Platform. This licence ends when you delete your content or close your account, subject to the data retention provisions in our Privacy Policy.

6.4 Visibility of your content: important

You understand and agree that:

• Check-in notes and photos you post in an activity are visible to all current members of that activity. You are told this when you write a note. People viewing a public activity they have not joined can see that you checked in, but not your note or photo.
• Discussion messages are visible to all members of the activity in which they are posted.
• Support notes are private between you and the member you send one to.
• Your streak in an activity is visible to the members of that activity.
• Your profile information (name, username, bio, profile photo, and the activities you choose to show) may be visible to other users of the Platform in accordance with your settings.
• Your Reflect journal entries are private and visible only to you. They are never shared with other users or read by WhereIsMyBuddy for any purpose other than displaying them back to you.
• Your weekly Reflect summary is generated from your own check-in data and is visible only to you.

6.5 Content you are responsible for

You are solely responsible for your User Content. We do not endorse, verify, or guarantee the accuracy of any User Content posted by other users.

6.6 Our right to remove content

We reserve the right, but are not obligated, to review, remove, or restrict any User Content at any time, including if we believe it violates these Terms. We will not be liable for any action we take or fail to take with respect to User Content.

7.1 Overview

Every activity on WhereIsMyBuddy runs at one of two accountability levels, set by the activity owner when the activity is created. Every member of an activity follows its level. By joining an activity, you agree to the accountability terms of that level.

At both levels, you check in once on each of the activity’s scheduled days, up until midnight in your own time zone. A day that has passed cannot be checked in afterwards.

7.2 Gentle accountability

Gentle activities operate on the following terms:

• There are no penalties for missed check-ins
• Your streak resets when you miss a scheduled day, but no further action is taken
• You are never removed from a Gentle activity automatically for missed check-ins (an owner can still remove members; see Section 8)

7.3 Committed accountability

By joining a Committed activity, you explicitly acknowledge and agree to the following:

• Real accountability applies. This level is designed for people who are serious about consistency and want to be held to a high standard.
• Who sees what. Your streak is visible to the members of the activity. Your warning state is visible only to you and to the activity owner.
• First miss. The first time you miss a scheduled day, you will get a note in your notifications.
• Warning at 3 misses. If you miss 3 scheduled days within any rolling 30-day window, you will receive a warning.
• Final warning at 4 misses. If you miss a 4th day within the same rolling 30-day window, you will receive a final warning.
• Automatic removal at 5 misses. If you miss a 5th day within the same rolling 30-day window, you will be automatically removed from the activity. This is a feature of Committed activities that you opt into when you join.
• Fresh start. Days before you joined, or before you last rejoined, never count toward these numbers.
• Owners. An activity owner is never removed from their own activity.
• Grace pass. An owner with WMB+ may forgive one missed day for a member.
• Rejoining. If you are removed for missed check-ins, you can rejoin the activity after 7 days. A private activity still needs an invitation or the owner’s approval. Your warning count and streak start fresh when you rejoin.

7.4 Activity level is set by the owner

The accountability level of an activity is set by the activity owner at creation and cannot be changed once the first member joins. This means everyone joins with a clear and consistent understanding of the activity’s standards.

7.5 No liability for removal

WhereIsMyBuddy is not liable for any consequences, direct or indirect, arising from a user’s removal from a Committed activity in accordance with these Terms.

8.1 Owner responsibilities

If you create an activity, you are its owner and take on responsibility for setting appropriate activity rules, maintaining a respectful environment within your activity, and complying with these Terms in how you manage your activity and its members.

8.2 Owner capabilities

As an owner, you can remove members, delete and pin messages, transfer ownership to another member (who must accept), and archive the activity. In Committed activities you can see each member’s warning state. With WMB+ you have further hosting tools, such as muting a member or giving a grace pass. You may not use any of this to harass, pressure, or discriminate against members.

8.3 Private activities

Owners may create private activities. Private activities are not listed in the public Discover section of the Platform. People join a private activity by invitation, or by asking to join and being approved by the owner.

8.4 Inactive owners

If an activity’s owner has not used WhereIsMyBuddy for 30 days, we will email them. If they still have not returned after 60 days, the activity may be archived. Members keep read access to an archived activity.

8.5 If an owner deletes their account

When an owner’s account is deleted, each activity they own passes to the member who has been in it longest and is archived, so its history stays readable; the new owner can restore it. An activity with no other members is deleted.

9.1 What WMB+ is

WMB+ is an optional paid subscription that adds hosting tools for activity owners and a deeper private layer for you. Taking part, including checking in and being seen by the people in your activities, is free and does not require WMB+.

9.2 Price

WMB+ costs $7 CAD per month. We may also offer other plans, such as a Founding Member annual plan. The price of the plan you choose is shown before you pay.

9.3 Free trial

New subscribers can try WMB+ free for 14 days, without entering a card. When the trial ends, your account returns to the free plan unless you choose to subscribe. A promotional code may give you a longer trial.

9.4 Billing and renewal

Payments are processed by Stripe. Your subscription renews automatically at the end of each billing period until you cancel. We will tell you before a price change applies to your subscription.

9.5 Cancelling

You can cancel at any time from your Profile. You keep WMB+ until the end of the period you have already paid for, and you are not charged again.

9.6 Refunds

We do not refund partial billing periods, except where required by applicable law.

9.7 Deleting your account

If you ask to delete your account, your subscription stops renewing straight away. It is cancelled when the account is deleted.

10.1 Our right to terminate

We reserve the right to restrict, suspend, or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if your conduct poses a risk to other users or the Platform, or for any other reason at our sole discretion.

10.2 Your right to delete your account

You may delete your account at any time from Profile, under Account and privacy. When you do, you are signed out and we email you a link to cancel the deletion. If you do not use it within 14 days, your account is permanently deleted in accordance with our Privacy Policy.

10.3 Effect of termination

When your account is terminated, your right to access the Platform ends immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.

11.1 Our property

The Platform, including its design, software, features, functionality, text, graphics, logos, and all other content created by WhereIsMyBuddy, is owned by or licensed to WhereIsMyBuddy and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or exploit any part of the Platform without our express written permission.

11.2 Your property

As stated in Section 6, you retain ownership of your User Content.

11.3 Feedback

If you submit feedback, suggestions, or ideas to us through the Platform or otherwise, you grant us the right to use that feedback without restriction or compensation to you. We are not obligated to act on any feedback received.

12.1 Platform provided as-is

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

12.2 No guarantee of results

WhereIsMyBuddy makes no representations or warranties regarding the effectiveness of the Platform in helping you achieve your goals. Goal achievement depends entirely on your own efforts and circumstances.

12.3 No liability for user content

We are not responsible for User Content posted by other users. You access and rely on User Content at your own risk.

12.4 Limitation of liability

To the maximum extent permitted by applicable law, WhereIsMyBuddy and its founders, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising out of or in connection with your use of or inability to use the Platform.

To the extent we are found liable for any direct damages, our total liability to you shall not exceed the amount you paid us in the twelve months preceding the claim. For free users, this amount is zero.

12.5 Jurisdictional limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

The Platform may contain links to third-party websites or integrate with third-party services, such as Google Sign-In and Stripe. We are not responsible for the content, privacy practices, or terms of any third-party websites or services. Your use of third-party services is at your own risk and subject to their own terms.

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a prominent notice on the Platform, and we will update the "Last updated" date at the top of this document. Your continued use of the Platform after the effective date of any changes means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

15.1 Governing law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Dispute resolution

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the courts of competent jurisdiction in the Province of Ontario.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, are the entire agreement between you and WhereIsMyBuddy with respect to your use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals.
